1. Independent Contractor
Logistics agents operate as independent contractors. Nothing in these terms creates an employment, partnership, joint venture, franchise or agency relationship beyond what is expressly described. Agents are responsible for their own taxes, benefits, equipment and insurance.
2. Licensing & Authority
Agents must maintain valid operating authority where applicable (for example FMC OTI for U.S. ocean forwarding, IATA, AEO, customs broker license, motor carrier authority) and must keep professional, errors-and-omissions and general liability insurance at industry-standard levels. Proof of coverage must be provided on request.
3. KYC & Onboarding
Agents must complete IKEOCEAN’s onboarding due diligence, including identity verification, sanctions screening, references and financial review. Continued listing depends on performance scoring (on-time percentage, claim ratio, dispute rate, compliance adherence).
4. Standards of Conduct
- Act honestly and in the best interests of shippers and the ecosystem.
- Quote accurate prices and disclose all charges in advance.
- Do not solicit IKEOCEAN customers outside the platform.
- Do not pay or accept bribes, kickbacks or facilitation payments.
- Comply with all applicable sanctions, AML, customs and data-protection laws.
5. Commissions & Settlement
Commissions, splits and revenue-share arrangements are set out in the agent’s onboarding agreement or rate schedule. IKEOCEAN may withhold settlement pending resolution of claims, charge-backs, customs penalties or compliance investigations.
6. Confidentiality & Data
Customer information, rates, routes and platform data accessed in the course of operating as an agent are confidential. Agents must not export, sell, resell, share or train external systems on this data without IKEOCEAN’s written consent.
7. Non-Solicitation
During the engagement and for 12 months after termination, agents shall not directly or indirectly solicit IKEOCEAN customers introduced through the platform, employees or other agents for the purpose of diverting business outside the ecosystem.
8. Suspension & Termination
IKEOCEAN may suspend or terminate an agent at any time for breach, fraud, regulatory issues, poor performance, customer-safety concerns or reputational risk. Upon termination, all open bookings must be completed professionally and customer relationships must be transitioned in good faith.
9. Indemnification
The agent agrees to indemnify and hold IKEOCEAN harmless against all claims arising from the agent’s acts, omissions, mis-representations, negligence or breach of these terms.
